Fixed Marketing Management Plans

Agreement Overview

These Terms and Conditions ("Agreement") govern the provision of marketing management services ("Services") by VERD ("Provider") to the client ("Client") under the fixed marketing management plans  ("Plans").


Services Provided

The Provider agrees to deliver the Services outlined in the selected Plan. These Services may include, but are not limited to, SEO, content creation, social media management, and advertising. The specific details and scope of the Services will be as described in the Plan chosen by the Client.


Initial Research Period

The first month of the Plan is dedicated to research and the gathering of relevant information. This period includes understanding the Client's business, conducting market analysis, and setting up the necessary tools and strategies to be deployed in the subsequent months. This foundational work is crucial to ensure the effectiveness of the ongoing marketing efforts.


Duration

The Plans are designed to cover a 12-month period unless otherwise specified.  The term of the Agreement begins on the date of the first payment made by the Client.


Payments

Payments for the Plans are to be made monthly, in advance, on the first day of each month. The Client agrees to ensure timely payments to avoid any interruption in the provision of Services.  Late payments may result in the suspension or termination of Services at the Provider's discretion.


Client Obligations

The Client agrees to provide all necessary information and access required for the Provider to perform  the Services effectively. The Client is responsible for ensuring the accuracy and completeness of the information provided and for cooperating with the Provider in a timely manner.


Performance and Reporting

The Provider will employ reasonable efforts to achieve the marketing objectives agreed upon with the Client. The Client will receive regular performance reports as specified in the Plan. These reports will detail the progress and effectiveness of the marketing strategies implemented.


Changes to Services

Any changes to the scope of Services must be mutually agreed upon in writing by both parties. Additional services requested by the Client may incur additional fees, which will be communicated and agreed upon before the services are rendered.


Confidentiality

Both parties agree to maintain the confidentiality of all information exchanged during the term of this Agreement. This information shall not be used for any purpose other than fulfilling the terms of this Agreement. Confidentiality obligations will survive the termination of this Agreement.

Intellectual Property

Any intellectual property created by the Provider during the provision of Services will remain the property of the Provider until full payment is received. This applies on a month-by-month basis, aligning with the subscription payments. Upon receipt of full monthly payment, the Client will be granted a license to use the deliverables for that month.


Termination

The Client may terminate this Agreement within 7 days from the initial start date without incurring any penalty. If the Client fails to provide notice of termination within this 7-day period, a cancellation fee of $500 will apply for terminating the subscription after the 7th day.

The Provider reserves the right to terminate this Agreement immediately if the Client breaches any term of this Agreement or if payments are not made as agreed.


Limitation of Liability

The Provider shall not be liable for any indirect, incidental, or consequential damages arising from the provision of Services. The Provider's total liability to the Client for any claim arising under this Agreement shall be limited to the amount paid by the Client for the Services in the preceding 12 months.


Dispute Resolution

Any disputes arising under this Agreement will first be resolved through good faith negotiations between the parties. If the dispute cannot be resolved through negotiation, it will be submitted to mediation before any legal action is taken.


Governing Law

This Agreement is governed by and construed in accordance with the laws of the State of Victoria, Australia. Any legal actions or proceedings arising under this Agreement will be brought in the courts located in Victoria, Australia.


Amendments

This Agreement may only be amended in writing, signed by both parties. By selecting and paying for a Plan, the Client acknowledges and agrees to these Terms and Conditions.


Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements, whether written or oral, between the parties with respect to the subject matter of this Agreement.


 

Refund Policy

At VERD, we are committed to providing high-quality marketing management services. We understand that circumstances can change, and we want to ensure you are satisfied with your purchase. Please review our refund policy below:

 

Eligibility for Refunds:

 

  • Refunds are only available within the first 14 days of purchase for any of our marketing management plans.

  • To be eligible for a refund, you must submit a written request outlining the reason for your refund to byb@verd.agency.

 

Refund Process:

 

  • Upon receiving your refund request, our team will review it and notify you of the approval or rejection of your refund.

  • Approved refunds will be processed within 7 business days and will be credited to your original method of payment.

 

Non-Refundable Circumstances:

 

  • No refunds will be issued after the initial 7-day period of each month.

  • Custom plans or services that have already been delivered or partially completed are non-refundable.

  • Any fees associated with third-party services, such as advertising or software tools, are non-refundable.

 

Modifications and Cancellations:

 

  • If you wish to modify or cancel your plan, please contact us as soon as possible. Depending on the stage of service delivery, we may be able to offer a partial refund or credit toward future services.
